By using WakeWell, you represent and warrant that:

You will maintain the accuracy of such information.
You are not accessing the Services on behalf of a competitor for any reason, including but not limited to gathering insights, reverse-engineering, or attempting to gain a competitive advantage.
You will not use the Services for any unauthorized or illegal purpose.
4. Privacy
Your use of the Services is also governed by our Privacy Policy, which can be found here. By using WakeWell, you consent to the collection and use of your data as described in our Privacy Policy.
5. Payment & Subscriptions
If you purchase any paid Services, you agree to:
Provide valid payment information.
Authorize WakeWell to charge your selected payment method.
Comply with any additional terms related to subscriptions or payments. All fees are non-refundable except as required by law.
6. Intellectual Property
All content, trademarks, and intellectual property on the Services are owned by WakeWell or its licensors. You may not copy, distribute, modify, or exploit any WakeWell content without prior written consent.
a. Restrictions on Competitor Access
Competitors, including but not limited to those offering similar services, are strictly prohibited from using our Services for any purpose, including reverse engineering, benchmarking, or otherwise misappropriating WakeWell’s intellectual property, trade secrets, or operational methodologies.
7. Disclaimers & Limitation of Liability
a. No Medical or Professional Advice
WakeWell provides health-related and AI-driven coaching information but does not provide medical, psychological, or professional advice. The information provided is for general informational and educational purposes only and should not be relied upon for medical decisions. Only direct communication with a licensed healthcare provider constitutes medical advice. WakeWell does not diagnose, treat, or prescribe for any medical condition, and the use of our Services does not create a doctor-patient relationship.
b. AI Services Disclaimer
WakeWell incorporates artificial intelligence (AI) into certain aspects of its Services, including engagement and coaching. AI-generated outputs are for informational purposes only and should not be considered professional or medical advice. Users should not rely solely on AI outputs for critical decisions and should consult qualified professionals when necessary. WakeWell makes no guarantees regarding the accuracy or reliability of AI-generated content.
c. Limitation of Liability for AI Outputs

9. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Michigan. Any disputes shall be resolved through binding arbitration in Royal Oak, MI, unless prohibited by law.

You agree to indemnify and hold WakeWell, its affiliates, officers, directors, employees, and agents harmless from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Services, violation of these Terms, or infringement of any third-party rights.
b. Electronic Communications, Transactions, and Signatures
By using our Services, you consent to receive electronic communications from WakeWell. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing. You further agree that electronic signatures and agreements are as legally binding as their paper counterparts.
